Terms of Service

1. Acceptance of Terms

By accessing or using Pramanak ("Service", "Platform"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Service.

2. Description of Service

Pramanak is a software-as-a-service platform for organizations (schools, corporates, government bodies, clubs) to manage members, generate ID cards and certificates, organize events and tournaments, and optionally send transactional notifications via WhatsApp, email, and SMS.

3. Eligibility & Accounts

You must be at least 18 years old and legally capable of entering a binding contract to register. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately of any unauthorized use at security@pramanak.com.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful, fraudulent, or harmful purpose.
  • Upload content that infringes intellectual property or privacy rights.
  • Attempt to gain unauthorized access, probe, or disrupt any part of the Service.
  • Share your account credentials or resell access to the Service.
  • Use the WhatsApp, email, or SMS features to send spam, promotional content without opt-in, political campaigning, or content that violates the WhatsApp Commerce Policy or WhatsApp Business Policy.
  • Upload phone numbers you do not have permission to contact.
  • Reverse engineer, decompile, or attempt to derive the source code of the Service.

5. WhatsApp Messaging Terms

Use of the WhatsApp messaging feature is conditional on the following, in addition to our general acceptable-use terms:

  • Opt-in required. You may only send messages to recipients who have given valid, verifiable opt-in consent to receive WhatsApp messages from your organization. You are responsible for retaining proof of consent.
  • Approved templates only. Outbound messages use pre-approved Meta message templates. Free-form messages may be sent only within 24 hours of a user-initiated message (the "customer service window").
  • Compliance with Meta policies. You agree to comply with the WhatsApp Business Policy, Commerce Policy, and all other Meta platform terms.
  • Opt-out handling. If a recipient sends STOP, UNSUBSCRIBE, or BLOCK, your organization must immediately cease all WhatsApp messaging to that number. Our platform enforces this automatically via the suppression list.
  • Prohibited content. You may not send content promoting illegal goods, firearms, drugs, adult services, gambling (where restricted), or discriminatory or deceptive content.
  • Rate limits and quality. Meta enforces messaging tier limits based on quality ratings. We are not liable for messaging disruptions resulting from rate limits, quality-rating downgrades, or suspension by Meta.
  • Indemnification. You indemnify us against any claims arising from your misuse of the WhatsApp messaging feature, including unauthorized contacts, spam complaints, or Meta policy violations.

6. Your Data & Content

You retain ownership of all content you upload to the Service, including member data, photos, and templates. You grant us a limited, non-exclusive license to process this content solely to provide the Service to you. You represent that you have the right and any necessary consents to upload such content.

7. Organization Controllers

Organization owners and administrators act as the data controllers for the data they upload. They are responsible for:

  • Obtaining lawful basis and consent for the data they collect (including parental consent for minors).
  • Configuring member and branch access appropriately.
  • Handling data-subject requests (access, correction, deletion) from their members.
  • Compliance with all applicable data protection and messaging laws in their jurisdiction.

8. Fees and Payment

Certain features (higher WhatsApp volumes, premium templates, print orders) may incur fees. Fees, if any, are disclosed in the platform before use. You are responsible for any applicable taxes. WhatsApp conversation costs are billed separately by Meta and passed through at cost.

9. Termination

You may close your account at any time through account settings. We may suspend or terminate access for violations of these Terms, security risk, non-payment, or Meta-initiated suspension of messaging privileges. On termination, your data is handled per the Data Deletion procedure.

10. Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption arising from your use of or inability to use the Service, including any disruption to WhatsApp messaging or document generation.

11. Indemnification

You agree to indemnify and hold harmless Pramanak, its officers, employees, and affiliates from any claims, damages, or expenses arising from your use of the Service, your content, your violation of these Terms, or your violation of any third-party rights or applicable laws.

12. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via the Service. Continued use after changes constitutes acceptance of the modified Terms.

13. Governing Law

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Disputes shall be resolved in the courts of Bengaluru, Karnataka, India.
